This leading analytics and technology business, with a presence across the globe, are looking for a Corporate M&A lawyer for a 3-6 month fixed term contract. Assisting with a number of M&A transactions, and some specific projects, they are looking for mid level associate to start immediately. The Role will include: · Working closely with a busy corporate development and M&A team in assessment of M&A strategy (both private and public) and opportunities in an exciting and fast-paced environment. · Assisting in global M&A projects including acquisitions, disposals, strategic investments, equity swaps, restructurings and joint ventures. · Liaising with the head of M&A legal team, and other members of the wider global legal team, as well as other stakeholders, to execute private M&A transactions. · Conducting legal due diligence on target businesses, assessing commercial and legal risks · Preparing, negotiating a number of corporate transaction documentation to ensure the business interests are protected - this will include letters of intent, sale purchase agreements, asset transfer agreements, shareholders’ agreements and loan agreements · Providing corporate structuring and legal advice as part of shaping the commercial deal; · Working closely with external legal counsel in a timely and cost-effective manner · Project managing the transactions · Negotiating with third parties You must be a UK qualified Solicitor with a least 6 years PQE and experience in the following: · A minimum of 6 years M&A experience from a top international law firm or in house legal team · Experience with shareholder/joint venture agreements · Experience working on international transactions. · Effective team player. · Excellent commercial and business acumen, with clear and concise communication · Effective negotiation skills.
